We are seeking a highly motivated Legal Assistant or Paralegal with strong exposure to corporate and transactional law to join a fast-paced legal team on a contract-to-hire basis. This role will support attorneys and deal teams on a wide range of matters including contracts, securities filings, M&A transactions, and financial/legal documentation. About the Role



Key Responsibilities



  • Assist in drafting, reviewing, redlining, and managing commercial contracts and agreements
  • Support M&A transactions, including due diligence, document organization, and closing processes
  • Prepare and maintain corporate governance documents and transaction-related materials
  • Assist with securities filings (e.g., SEC filings, disclosures) as needed
  • Coordinate and manage data rooms and document tracking for transactions
  • Conduct legal and financial research to support attorneys and deal teams
  • Track deadlines and ensure compliance with internal and external requirements
  • Liaise with internal stakeholders, clients, and external counsel


Qualifications



  • Bachelor’s degree required; Paralegal certificate preferred
  • 2+ years of experience as a legal assistant or paralegal in a corporate legal department or law firm
  • Strong experience with at least one of the following:

Contracts / commercial agreements

Securities / capital markets

Mergers & acquisitions (M&A)

Financial services or transactional law


  • Familiarity with corporate structures, governance, and deal processes
  • Excellent attention to detail and organizational skills
  • Ability to manage multiple priorities in a deadline-driven environment
  • Strong communication skills and professional demeanor
  • Proficiency with Microsoft Office; experience with legal tech tools or document management systems a plus
