Emerging Growth & Venture Capital Counsel

Location: New York, NY (Hybrid) 4/1

Comp: $250-350,000 base + 10% guaranteed bonus + performance bonus

Our client, an early-stage venture capital firm is seeking a counsel for their NY office. They invest in high-growth technology companies across fintech, SaaS, and consumer sectors. They partner closely with founders from formation through scale and are seeking a business-minded attorney to join our team.

The Role

We are looking for an Emerging Growth & Venture Capital Counsel to support our client's investment activities and portfolio companies. This role will work directly with partners and investment professionals on structuring, negotiating, and executing venture investments, while also advising portfolio companies on a wide range of legal and strategic matters.

Responsibilities

Investment Work

• Lead legal aspects of venture investments, including priced equity rounds, SAFEs, and convertible notes
• Review and negotiate term sheets and definitive agreements
• Manage and coordinate outside counsel to ensure efficient deal execution
• Identify legal risks and provide practical, business-oriented advice to investment team

Portfolio Company Support

• Advise portfolio companies on financings, governance, and general corporate matters
• Support hiring and equity compensation structuring
• Assist with follow-on investments and exits

Firm-Level Support

• Develop and maintain standard investment documents and templates
• Assist with fund-related legal and compliance matters as needed
• Collaborate with finance and operations teams on internal processes

Qualifications

• J.D. from a top law school and admission to at least one U.S. bar
• 4–8 years of experience at a top law firm or in-house role
• Strong background in:
• Venture capital financings
• Emerging companies representation
• Experience with SAFEs, convertible notes, and preferred equity financings
• Ability to manage multiple deals simultaneously in a fast-paced environment
