Corporate Associate Attorney

A growing, collaborative business law firm is seeking a Corporate Associate Attorney with at least two years of corporate and transactional experience to join its Winston-Salem office. This is an excellent opportunity for an attorney looking to gain meaningful, hands-on experience early in their career while working on sophisticated matters in a supportive, team-oriented environment.

The firm offers a dynamic platform for professional growth, emphasizing mentorship, direct client interaction, and early responsibility in managing complex legal matters.


Key Responsibilities

  • Draft, review, and negotiate a wide range of commercial agreements and transactional documents
  • Advise clients on corporate matters, including:
  • Mergers & acquisitions
  • Corporate structuring and governance
  • Shareholder and partnership agreements
  • Joint ventures and ESOPs
  • Employment and compliance matters
  • Intellectual property, data privacy, and related issues
  • Provide practical, business-oriented legal advice in a clear and client-friendly manner
  • Collaborate with attorneys across practice areas on complex, multidisciplinary matters
  • Manage portions of a sophisticated caseload with appropriate supervision
  • Support business development efforts, including maintaining and growing client relationships
  • Assist with thought leadership initiatives such as presentations and written materials
  • Delegate tasks effectively to paralegals and support staff


Qualifications

  • Minimum of 2 years of corporate/transactional experience
  • Juris Doctor (J.D.) from an ABA-accredited law school
  • Strong academic credentials
  • Admitted to the North Carolina Bar, or eligible to waive in / obtain admission promptly
