Job Title: Associate, Corporate | Capital Markets / ’34 Act Attorney
Our client, a full-service law firm in NYC, is seeking a Corporate Associate to support capital markets transactions and advise clients on SEC, FINRA, and stock exchange compliance. The ideal candidate will have 2–5+ years of relevant experience.
Duties and Responsibilities
The Corporate Associate will focus on capital markets and securities matters.
• Advise clients on securities offerings, including IPOs, secondary offerings, PIPEs, and private placements.
• Draft, review, and negotiate transaction documents, including registration statements, offering materials, and related agreements.
• Manage deal execution in coordination with issuers, investment banks, auditors, and financial advisors.
• Communicate with the SEC, FINRA, and stock exchanges to obtain required approvals and ensure compliance.
• Prepare and review public company filings, including Forms 10-K, 10-Q, 8-K, and proxy statements.
• Support entity formation and preparation of organizational documents.
• Conduct due diligence and assist with transaction structuring.
Qualifications
• 2–5+ years of capital markets and securities law experience.
• Admission to practice law in New York and active membership in good standing with the New York State Bar.
• Strong drafting, analytical, and organizational skills.
• Working knowledge of securities laws and public company reporting requirements.
• Ability to manage multiple transactions in a fast-paced environment.
• Excellent verbal and written communication skills.
Salary: $188,000+ annually, depending on experience and year of law school graduation.
Work Environment: Hybrid; 3 days per week in the Midtown NYC office, including Mondays
