A dynamic and rapidly growing national law firm is seeking an Associate to join its Corporate Practice Group, with a focus on public company securities matters.


Position Overview


This role offers the opportunity to work on sophisticated public company and transactional matters within a collaborative and entrepreneurial environment. The ideal candidate will bring strong technical skills, sound judgment, and the ability to manage complex matters with meaningful client interaction.


Responsibilities


  • Advise public company clients on compliance with the Securities Act of 1933 and the Securities Exchange Act of 1934
  • Draft and review periodic reports (10-Ks, 10-Qs, 8-Ks), proxy statements, and registration statements
  • Counsel clients on corporate governance and disclosure matters
  • Support transactional work, including:
  • Mergers & acquisitions
  • Private equity transactions
  • Corporate finance matters
  • Venture capital financings
  • Licensing agreements
  • Corporate formation and maintenance


Qualifications


  • 2–7 years of relevant corporate experience
  • Substantial experience with ’33 Act and ’34 Act matters
  • Exposure to transactional and governance matters as outlined above
  • Excellent academic credentials from a top-tier law school
  • Admission to practice in the state of the candidate’s home office
  • Strong drafting, analytical, and communication skills
