A dynamic and rapidly growing national law firm is seeking an Associate to join its Corporate Practice Group, with a focus on public company securities matters.
Position Overview
This role offers the opportunity to work on sophisticated public company and transactional matters within a collaborative and entrepreneurial environment. The ideal candidate will bring strong technical skills, sound judgment, and the ability to manage complex matters with meaningful client interaction.
Responsibilities
- Advise public company clients on compliance with the Securities Act of 1933 and the Securities Exchange Act of 1934
- Draft and review periodic reports (10-Ks, 10-Qs, 8-Ks), proxy statements, and registration statements
- Counsel clients on corporate governance and disclosure matters
- Support transactional work, including:
- Mergers & acquisitions
- Private equity transactions
- Corporate finance matters
- Venture capital financings
- Licensing agreements
- Corporate formation and maintenance
Qualifications
- 2–7 years of relevant corporate experience
- Substantial experience with ’33 Act and ’34 Act matters
- Exposure to transactional and governance matters as outlined above
- Excellent academic credentials from a top-tier law school
- Admission to practice in the state of the candidate’s home office
- Strong drafting, analytical, and communication skills
