Innovative semiconductor company in San Jose, CA is seeking an experienced Commercial Counsel to support legal and business teams. This Commercial Counsel position offers the opportunity to handle complex commercial matters in a fast-paced semiconductor and hardware environment. The role is best suited for a licensed attorney who can move quickly, provide practical guidance, and partner effectively with stakeholders across the organization. The ideal candidate will hold an active Bar license in any US jurisdiction, have at least 5+ years of experience working with contracts. and be able to work on-site on a full-time basis.
Responsibilities:
• Review, draft, and negotiate a broad range of commercial agreements to support ongoing business operations and strategic initiatives.
• Partner closely with teams across legal, sales, procurement, finance, and operations to resolve contract issues and align risk with business objectives.
• Manage the contract lifecycle, including redlining, negotiation, and execution as needed.
• Provide timely legal advice on contractual terms, obligations, and risk exposure within a semiconductor or hardware-focused business setting.
• Support high-volume agreement handling while maintaining accuracy, consistency, and compliance with company standards.
• Identify legal and commercial concerns in proposed terms and develop practical solutions that balance protection with deal progression.
• Contribute to process improvements related to contracting workflows and documentation management when needed.
• Work effectively in an onsite environment and respond to business priorities with a high level of ownership and urgency.
Qualifications:
• Active license to practice law in at least one US jurisdiction.
• At least 5 years of relevant experience, with 6 to 10 years strongly preferred in commercial contracting roles.
• Background supporting companies in the semiconductor, hardware, or closely related technology sectors is preferred.
• Strong experience drafting, reviewing, negotiating, and redlining commercial contracts.
• Demonstrated ability to collaborate with cross-functional stakeholders and manage competing priorities effectively.
• Ability to work onsite in San Jose, California, on a permanent schedule of 40 hours per week.
