Position Overview

We are seeking an experienced Transactional Attorney to join our collaborative team of legal professionals. This is an excellent opportunity for an attorney who enjoys working on a broad range of sophisticated business matters in a fast-paced, collaborative environment. The role will focus heavily on structuring, drafting, reviewing and negotiating a variety of agreements while supporting all types of corporate transactions and assisting the litigation team, as needed.


Key Responsibilities

  • Draft, review, and negotiate a variety of commercial contracts
  • Support business transactions from inception through closing, including strategy and due diligence
  • Assist with all aspects of corporate governance, including entity formation, maintenance, dissolution, windups and disputes
  • Support litigation strategy and collaborate with and manage outside counsel, as needed
  • Assist clients with domestic and cross-border transactional matters
  • Other duties as assigned


Qualifications

  • Active membership in good standing with the Michigan State Bar
  • A minimum of 10-15 years of experience in complex business transactions, including:
  • Merger, acquisition and divesture transactions and related due diligence
  • All aspects of corporate formation, governance and maintenance
  • Equity and asset purchase and sale transactions
  • Finance transaction documentation, secured and unsecured
  • Real estate acquisition and divesture transactions and commercial leases, licensing and occupancy transactions
  • Commercial contracts, including, without limitation, intellectual property licensing, consumer packaged goods and medical devices
  • Experience drafting and negotiating employment, independent contractor and separation agreements
  • Excellent communication, analytical organizational and time management skills
  • Ability to work independently and collaboratively with the team and to effectively manage multiple matters simultaneously
  • Skilled in balancing legal risk with business objectives
  • J.D. from an ABA-accredited law school
  • Experience handling business disputes and litigation management is preferred
  • Exposure to cross-border transactions preferred
  • Experience in training/oversight of legal assistants preferred
