Job Description

Stellantis is seeking a Senior Counsel – Corporate & Treasury for a dual-focus role, serving as the regional lead for Corporate matters and supporting the global lead for Treasury & Securities, with responsibility for senior-level legal counseling and execution across corporate governance and treasury-related matters, while partnering closely with finance leadership and other cross-functional stakeholders.

Job Responsibilities

  • Lead role in the North America region on corporate governance matters, including board and committee operations, governance policies, and corporate formalities
  • Provide ongoing legal support for subsidiary governance, including entity maintenance, director and officer appointments, intercompany transactions, and corporate records management
  • Provide legal support to the Treasury organization, under the direction of the global lead for Treasury & Securities, on securities reporting, financing transactions and treasury initiatives.
  • Draft and review documentation related to debt issuances, credit agreements, guarantees, intercompany arrangements, and other treasury transactions
  • Serve as a legal partner to Finance, Treasury, Accounting, Tax, Sustainability, and Investor Relations teams to help identify risks, assess options, and implement practical solutions
  • Manage and coordinate outside counsel in alignment with overall legal strategy and supervision

Basic Qualifications

  • Juris Doctor (J.D.) from an accredited law school with a strong academic background
  • 10+ years of legal experience, including experience at a top-tier law firm and/or in a sophisticated in-house legal department
  • Substantial experience with corporate governance and corporate transactional work
  • Admission to practice law in at least one U.S. jurisdiction
  • Strong legal judgment and ability to balance risk with practical business needs
  • Excellent written and verbal communication skills, including the ability to explain governance and financial legal concepts to non-lawyers
  • Proven ability to manage multiple priorities in a fast-paced, matrixed environment
  • Strong organizational skills and attention to detail, particularly in governance and transactional documentation
  • Interest in developing a deep understanding of Stellantis’ financial strategy, governance model, and global operations

Preferred Qualifications

  • Significant experience supporting public-company or large multinational governance frameworks, including board and subsidiary governance
  • Significant experience with capital markets, securities reporting and treasury matters, including financing transactions
