Summary:


The primary duties of this position are to provide a full range of legal advice and support for domestic and global corporate, regulatory, commercial, finance and governance activities. Attorney will have primary responsibility for SEC reporting and on global corporate development matters (including mergers, acquisitions, divestitures and joint ventures).


Responsibilities:

  • Provide day-to-day advice and support with respect to all securities matters, including ’33 and ’34 Act compliance.
  • Provide legal support in connection with public or private debt and equity financing transactions.
  • Regularly advise corporate functions such as investor relations, finance, treasury, accounting, and corporate communications.
  • Partner with operations leaders to support them in the achievement of business goals.
  • Provide advice and legal support on commercial contracts and global business development opportunities, including supplier agreements, sales agreements and development agreements.
  • Assist with the development, implementation and maintenance of various corporate governance practices and policies for domestic and international entities
  • Assist with corporate secretarial functions, including preparation of Board of Directors and Committee meeting materials, agendas, minutes, notices, etc; oversee all subsidiary corporate governance.
  • Support HR’s administration of stock-incentive and other employee-benefit plans.
  • Monitor and provide legal counsel and training as necessary on corporate policies, including ethics, insider trading, conflicts of interest, FCPA, etc.


Requirements:


Background:

  • Education: JD with excellent academic credentials
  • Technical Experience: Minimum of 7+ years of public company experience with corporate finance, SEC matters, mergers and acquisitions, commercial contracts, corporate governance. Preferred 10+ years Public company experience with corporate finance, SEC matters, mergers and acquisitions, commercial contracts, corporate governance
  • Manufacturing: Preferred 3+ years
  • Training / Certifications: Preferred Admission to Illinois Bard
  • Other preferred: Working with senior management teams /executives and Professional services / consulting

The employee is frequently required to stand; walk; sit; reach with hands and arms; climb or balance; and stoop, kneel, crouch, or crawl. Specific vision abilities required by this position include close vision, color vision, peripheral vision, and the ability to adjust focus.
