Position Summary:
This role combines traditional Executive Assistant support with corporate governance, entity management, and project coordination responsibilities. The position serves as a critical partner to senior leadership and the Legal function, ensuring effective governance, accurate entity records, and seamless execution of strategic initiatives across the legal function.
The role will work closely with internal stakeholders across Legal, Tax, Finance, and HR.
Responsibilities of Position:
- Provide high-level administrative support to senior executives, including calendar management, meeting coordination, travel arrangements, and expense reporting.
- Prepare meeting materials, presentations, and briefing documents.
- Coordinate internal and external communications with professionalism and discretion.
- Track and follow-up on key action items and priorities.
- Assist the drafting of Board and Committee materials such as agendas and minutes.
- Partner with internal stakeholders to ensure data integrity across the entity management system, including serving as a system administrator/super user for the entity management platform:
o Maintain corporate records and ensure compliance with governance requirements
o Coordinate director and officer (D&O) resignations and related documentation
o Manage notarization and apostille processes where required
o Manage and share transfers structure updates
o Build and maintain comprehensive historical entity records (e.g., constitutional documents, resolutions, powers of attorney, share certificates)
o Refresh and maintain organizational charts across the corporate structure
- Support the Legal team on corporate transactions, including financing, M&A, and restructuring activities.
- Track project timelines, deliverables, and stakeholders to ensure execution.
Education and Experience:
- Bachelor’s degree or equivalent experience.
- 5–8+ years of experience in an Executive Assistant, Corporate Governance, Paralegal, or similar role.
- Basic understanding of corporate governance and compliance requirements.
- Experience supporting C-suite activities.
- Exceptional organizational and project management skills.
- Strong drafting and documentation abilities (minutes, resolutions, governance materials).
- High attention to detail and accuracy.
- Ability to manage confidential and sensitive information with discretion.
- Strong communication and stakeholder management skills.
- Proactive, self-starter with the ability to manage multiple priorities.
- Comfortable operating in a fast-paced, complex, global environment.
Licensing or Special Certification:
- Valid drivers' license.
- Notary public commission helpful, but not required.
Physical Requirements:
- Ability to work at a personal computer for extended periods of time.
- Ability to tolerate stress.
Working Conditions:
- Occasionally lifts and carries up to 15 pounds.
- Some of work time is spent standing, walking, lifting and bending.
- Some extended non-traditional work hours may be required, including working from remote (home) locations.
