Salary: Up to $105,000, commensurate with experience

Position Overview

NRI Staffing’s client, a publicly traded technology company headquartered in Tysons Corner, VA, is seeking a Corporate Paralegal to support its Corporate Governance and Securities team. This role offers the opportunity to work closely with senior legal leadership, as well as cross-functional teams including Finance and Investor Relations, in a fast-paced and highly collaborative environment.

The ideal candidate will have direct experience supporting public company compliance and SEC filings, along with a strong understanding of corporate governance practices.


Key Responsibilities

  • Assist with the preparation and filing of SEC documents, including Forms 10-K, 10-Q, 8-K, Section 16 filings (Forms 3, 4, and 5), and proxy statements
  • Support international securities and exchange filings
  • Maintain corporate records and governance documents, including board materials, minutes, and written consents
  • Assist with equity plan documentation and grant approvals
  • Conduct legal research and prepare summaries and memoranda
  • Provide litigation support, including document collection, organization, and coordination with external counsel
  • Support legal operations initiatives and special projects
  • Assist with drafting and reviewing commercial contracts and non-disclosure agreements under attorney supervision
  • Manage timelines and project plans for corporate and securities deliverables


Qualifications

  • Bachelor’s degree and/or an ABA-approved Paralegal Certificate, or equivalent experience
  • Minimum of 2+ years of experience as a corporate paralegal at a public company or law firm supporting public company clients
  • Direct experience supporting SEC filings, including Forms 10-K, 10-Q, 8-K, and Section 16 filings (Forms 3 and 4)
  • Strong understanding of corporate governance and public company practices
  • Familiarity with EDGAR filing processes
  • Exceptional attention to detail, organizational skills, and the ability to manage multiple deadlines
  • Professional demeanor with the ability to handle confidential information with discretion


Preferred Qualifications

  • Experience with international securities filings
  • Familiarity with legal operations tools, contract lifecycle management (CLM) platforms, stock administration systems, or equity compensation documentation
