A boutique law firm in Century City is seeking a Corporate/M&A Legal Assistant to support its corporate and transactional practice. The firm is open to candidates seeking temporary work, as well as temp-to-hire candidates.


Responsibilities:

• Support attorneys with corporate, transactional, M&A, venture financing, and general corporate matters.

• Assist with entity formations, corporate governance, compliance, and corporate record maintenance.

• Prepare, revise, proofread, and format corporate documents, transaction documents, correspondence, and closing materials.

• Support M&A transactions, including due diligence, document organization, signature packets, and closings.

• Assist with venture capital and private equity financing matters, including seed through later-stage rounds.

• Help maintain corporate records, capitalization tables, equity issuances, and equity plan documentation.

• Coordinate with attorneys, clients, and outside parties to keep matters moving and deadlines on track.

• Manage calendars, meetings, document organization, filing, and other administrative tasks as needed.


Qualifications:

• At least 2 years of recent corporate, transactional, or M&A legal assistant experience, preferably in a law firm.

• Familiarity with California, Delaware, and Nevada business entities, including corporations and LLCs.

• Experience supporting entity formations, corporate governance, compliance, financings, and M&A transactions.

• Ability to assist with corporate records, transaction documents, diligence materials, and closing deliverables.

• Strong document formatting, proofreading, organization, and follow-up skills.

• Excellent attention to detail and ability to manage multiple deadlines.

• Professional communication skills and ability to work closely with attorneys, clients, and external parties.
