Epiq Counsel is partnering with a publicly traded, Fortune 500 real estate leader to identify an experienced Corporate & Entity Management Paralegal to support its in‑house legal team. This role sits at the center of corporate governance, entity management, and board‑level support within a highly sophisticated enterprise environment.


This is an excellent opportunity for a paralegal who takes ownership of critical processes, and thrives in a role where organization, judgment, and follow‑through truly matter.


Role Overview

This position is fundamental to the company’s entity management and corporate governance infrastructure. The paralegal will support securities and governance matters, board and committee processes, M&A‑related entity work, and the day‑to‑day maintenance of a large and complex entity structure. The work is cyclical and deadline‑driven, requiring flexibility, patience, and strong attention to detail.


Required Qualifications

  • Willingness to support a hybrid role requiring 2 days onsite in Los Angeles County-based office.
  • 5+ experience supporting corporate governance and entity management in an in‑house legal or law firm setting.
  • Strong familiarity with public company governance structures and various entity types.
  • Ability to independently drive corporate authorizations.
  • Active Notary (required).
  • Prior in‑house legal department experience
  • Experience administering electronic signature tools (AdobeSign and/or DocuSign).
  • Exceptional organizational, communication, and expectation‑management skills.

Key Responsibilities

  • Manage and maintain domestic and international entities, including day‑to‑day entity administration.
  • Own the certificate of secretary and corporate authorization process.
  • Support board of trustees and corporate governance matters, including resolutions, approvals, and related documentation.
  • Interface regularly with tax, finance, and field‑based teams to confirm signing authority, ownership, and entity status.
  • Coordinate with registered agents and oversee entity filings and compliance requirements.
  • Support M&A‑related entity formation, dissolution, and post‑transaction integration.
  • Administer electronic signature platforms such as AdobeSign or DocuSign.
  • Serve as a reliable point person when entity records are unclear or outdated, including investigative work to track ownership and authority.
  • Professional maturity and confidence working with executive‑level stakeholders.
  • Strong judgment, responsiveness, and commitment to accuracy.
