Job Description
- Draft corporate documents, including articles of incorporation, bylaws, operating agreements, and stock certificates
- Prepare corporate entity documentation, including foreign qualification filings
- Handle corporate and UCC filings with various states
- Perform online searches of state and federal lien and litigation databases
- Assist with mergers and acquisitions, financings, and other business transactions
- Organize and maintain corporate records and transaction documents
- Support attorneys with document management, due diligence, and closing-related tasks
- Work independently while collaborating closely with attorneys and team members on active matters
Qualifications
- 2+ years of corporate or transactional paralegal experience
- Associate’s or bachelor’s degree in paralegal studies, or equivalent relevant experience
- Strong proficiency with Microsoft Office and document management systems
- Ability to work independently with minimal oversight
- Strong attention to detail and organizational skills
- Strong written and verbal communication skills
- Ability to collaborate effectively in a team environment
- Experience with corporate filings, UCC filings, and transactional support strongly preferred
