Position Summary

The Corporate Paralegal supports the General Counsel and Legal Department with corporate governance, entity management, contract administration, and legal operations. The role requires strong attention to detail, excellent communication, and discretion in handling confidential information.


Responsibilities

Responsibilities include but are not limited to the following:

  • Provide day-to-day legal and administrative support, including managing deadlines, calendaring, proofreading, and coordinating internal and external communications
  • Support corporate governance, including preparing Board/committee minutes and materials, drafting resolutions and consents, coordinating meeting logistics, and maintaining the corporate record book
  • Support legal operations and records management, including invoice processing, legal spend tracking, and maintaining organized legal files and repositories
  • Support contract intake, review routing, execution, and storage for company and subsidiary agreements
  • Support litigation and disputes, including document collection, tracking key dates, and coordinating with outside counsel (including litigation holds)
  • Manage entity governance and required filings (e.g., annual reports, registered agent updates); track licenses/registrations and renewal deadlines in partnership with Compliance; and maintain accurate corporate records


Qualifications

  • Paralegal certificate, associate degree, or equivalent combination of education and experience
  • 3+ years of experience as a corporate paralegal or comparable legal support role; experience supporting corporate governance and contract administration strongly preferred (insurance or healthcare experience a plus)
  • Notary Public certification (Washington State) required
  • Experience with corporate records/entity management and contract repository or contract lifecycle management (CLM) tools preferred
  • Strong organization, time management, and prioritization skills
  • Strong written, verbal, and interpersonal communication skills; ability to handle confidential information with discretion
  • Proficiency with Microsoft Office and ability to learn and use legal systems/tools (e.g., contract repository/CLM)
  • Work in the Seattle office 3 days per week

The salary range for this position is $81,100 to $121,500. The range displayed on each job posting reflects the minimum and maximum for new hire salaries for the position. Starting salary is determined by several factors, including job-related skills, experience, and relevant education or training. This position is also eligible for an annual company bonus at an incentive target level of 8%.
