In-House Attorney (Corporate Counsel)

Position Summary

We are seeking an experienced and highly motivated In-House Attorney to join our legal team. The ideal candidate will serve as a trusted legal advisor to executive leadership and business units, providing strategic counsel on a wide range of legal matters, including corporate governance, contracts, litigation management, employment matters, regulatory compliance, risk mitigation, estate planning, intellectual property, and business transactions.

The In-House Attorney will be responsible for protecting the company's legal interests while supporting operational and growth objectives. This position requires strong analytical skills, sound legal judgment, exceptional communication abilities, and a proactive approach to problem-solving.

Key Responsibilities

Legal Counsel & Risk Management

  • Provide legal advice and guidance to executive leadership and department managers on business operations, corporate governance, regulatory compliance, and risk management matters.
  • Identify legal risks and develop strategies to minimize potential exposure and liability.
  • Monitor changes in federal, state, and local laws and regulations affecting the organization.

Contract Management

  • Draft, review, negotiate, and manage a wide range of agreements, including:
  • Vendor and supplier contracts
  • Service agreements
  • Employment agreements
  • Non-disclosure agreements (NDAs)
  • Real estate and lease agreements
  • Partnership and joint venture agreements
  • Ensure contracts adequately protect the company's interests and comply with applicable laws.

Litigation & Dispute Resolution

  • Manage pre-litigation matters, claims, and disputes.
  • Coordinate and oversee outside counsel when litigation or specialized legal services are required.
  • Develop litigation strategies and assist in settlement negotiations.
  • Represent the company in administrative proceedings and legal matters when appropriate.

Compliance & Regulatory Affairs

  • Develop, implement, and maintain corporate compliance policies and procedures.
  • Conduct internal reviews and investigations as necessary.
  • Ensure compliance with applicable industry regulations, licensing requirements, and corporate governance standards.

Corporate & Business Transactions

  • Support mergers, acquisitions, divestitures, financing transactions, and strategic business initiatives.
  • Conduct due diligence and prepare transaction-related documentation.
  • Advise management on legal implications of business decisions and growth strategies.

Intellectual Property & Specialized Legal Matters

  • Assist with intellectual property matters, including trademarks, copyrights, patents, and licensing agreements.
  • Provide guidance regarding estate planning, asset protection, and related legal matters when applicable to company interests.

Legal Research & Documentation

  • Conduct legal research using Westlaw and other legal research tools.
  • Draft legal memoranda, policies, resolutions, and other corporate documents.
  • Maintain accurate legal records and documentation.

Qualifications

Education & Licensing

  • Juris Doctor (JD) degree from an accredited law school.
  • Active license and admission to practice law in at least one U.S. jurisdiction.
  • Member in good standing with the applicable state bar association.

Experience

  • Minimum of 5+ years of legal experience, preferably with a combination of law firm and in-house counsel experience.
  • Experience in corporate law, contract negotiation, compliance, litigation management, and business transactions.
  • Experience in estate planning, personal injury law, intellectual property, or patent law is a plus.
