A well-regarded boutique law firm in San Luis Obispo is seeking an experienced Corporate/Business Transactions Attorney to join our team. This is an immediate opening, and we are open to both employee and independent contractor/of-counsel arrangements. The right fit matters more than the structure.
About the Role
You will handle a broad range of corporate and business transactional matters for a diverse client base, including small to mid-size businesses, entrepreneurs, and principals. Our team values practical, solutions-oriented counsel and strong client relationships.
Responsibilities
• Draft, review, and negotiate business contracts, purchase agreements, operating agreements, and other transactional documents
• Advise clients on entity formation, governance, and structuring
• Support mergers, acquisitions, and business sales from letter of intent through closing
• Assist with financing transactions, including equity and debt arrangements
• Identify and manage legal risk in commercial transactions
Qualifications
• JD from an accredited law school and active California State Bar membership (or ability to waive in)
• 3+ years of experience in corporate/business transactions
• Strong drafting and negotiation skills
• Ability to work independently and manage client relationships
• Experience in a small firm or boutique environment a plus
Arrangement & Compensation
We are flexible on structure:
• Full-time or part-time employee, OR
• Independent contractor / of-counsel arrangement
Remote work is welcome. Compensation is competitive and commensurate with experience.
