Our client is a dynamic and forward-thinking law firm dedicated to providing exceptional legal services across California and beyond. They are seeking a highly skilled Senior Corporate Paralegal to join their Corporate and Commercial Transactions team in Irvine, CA.

The firm consists of approximately 55 employees, including over 20 attorneys, and is currently in an exciting phase of modernization and geographic expansion.


Key Responsibilities:

  • Transactional Support: Assist attorneys with complex corporate transactions, including mergers and acquisitions (M&A), commercial financing, and real estate purchases and investments.
  • Entity Management: Prepare and maintain corporate entity formations, foreign qualifications, and compliance filings; draft and review operating agreements, bylaws, and shareholder agreements.
  • Closing Coordination: Manage transactional closings, including preparing closing checklists, coordinating deliverables, handling post-closing matters, and preparing closing binders.
  • Documentation & Research: Draft stock purchase agreements, asset purchase agreements, promissory notes, security agreements, and corporate resolutions. Conduct UCC searches, filings, and due diligence reviews.


Qualifications:

  • Experience: 5+ years of solid experience as a Corporate Paralegal, with a heavy emphasis on transactional law and entity formation.
  • Education: ABA-approved Paralegal Certificate or equivalent professional experience.
  • Technical Skills: Proficiency in Microsoft Office and Westlaw is required. Experience with Clio practice management software is a strong plus.
  • Certification: Active Notary Public certification is a significant advantage.
  • Attributes: Strong understanding of corporate structures, financing transactions, and regulatory filings; ability to work independently in a fast-paced environment.

Salary and Other Compensation:

The annual salary for this position is between $90,000-$130,000. Factors which may affect pay within this range may include geography/market, skills, education, experience and other qualifications of the successful candidate.
