Job Summary:
NYSE-listed real estate investment firm is looking for a corporate and securities attorney with four to six years of experience to support our corporate legal department as corporate counsel. This is a unique opportunity to work in-house on securities offerings, corporate governance matters, SEC Filings, M&A transactions, real estate transactions, structured debt transactions and commercial contracts.
Essential Job Duties:
- Assist with securities offerings in the public capital markets including preparation of offering materials to be filed with the SEC and tracking of due diligence process;
- Assist with portfolio level financing transactions and other debt-related transactions;
- Review contracts/documentation to ensure compliance with corporate legal guidelines;
- Assist in reviewing press releases and investor presentations;
- Prepare initial drafts of board meeting minutes, consents and similar corporate governance matters;
- Assist with the due diligence of M&A opportunities, real estate transactions, and joint venture transactions;
- Assist with drafting SEC filings, including Form 8-Ks, proxy statements and beneficial ownership forms using in-house SEC EDGAR filing software;
- Work directly with colleagues to obtain information necessary to complete projects and achieve deadlines;
- Manage workload to meet deadlines and maintain department standards on turnaround time; and
- Support legal department as corporate generalist.
Qualifications & Requirements:
- Minimum of 4 to 6 years of experience reviewing and assisting with the drafting of SEC filings (Form 8-K, 10-Q, 10-K, 3, 4 and 5 and proxy statements), corporate minutes and consents, and contracts for a corporate legal department and/or in a private law firm setting;
- Excellent attention to detail and high standard for accuracy;
- Ability to present complex concepts in a clear, concise manner (verbally and written), as well to problem solve in an efficient, business-friendly manner;
- Positive attitude coupled with a strong work ethic and demonstrated ability to produce high quality work under deadline pressures;
- Superior organizational skills with the ability to multi-task and manage workload with minimal supervision in a fast-paced environment;
- Must be a team player but also willing to take ownership of projects and think proactively;
- Must be proficient in MS Word and Excel;
- Experience using EDGAR or other in-house EDGAR filing software; and
- Real estate knowledge and/or understanding of financial statements preferred.
Education & Experience:
- Graduate of a top tier law school and admitted to practice law in California; and
- Minimum of 4 to 6 years of experience.
