Job Title: Mergers & Acquisitions Attorney

Key Responsibilities:

  • Manage and support all stages of M&A transactions, including structuring, due diligence, negotiation, and closing
  • Draft, review, and negotiate key transaction documents such as purchase agreements, merger agreements, and shareholder agreements
  • Advise clients on a wide range of corporate matters, including governance, compliance, and risk mitigation
  • Handle both buy-side and sell-side transactions, including domestic and cross-border deals
  • Provide legal guidance on complex transactions such as acquisitions, divestitures, strategic alliances, spin-offs, carve-outs, leveraged buyouts, recapitalizations, and tender offers
  • Collaborate with internal teams, clients, and external advisors to ensure efficient transaction execution
  • Conduct in-depth legal research and analysis to support transaction strategy and client objectives

Qualifications / Ideal Candidate Profile:

  • 3–5 years of substantial experience in mergers & acquisitions and other strategic corporate transactions
  • Proven experience handling domestic and cross-border transactions on both the buy-side and sell-side
  • Strong understanding of complex corporate structures and transactions, including acquisitions, divestitures, strategic alliances, spin-offs, carve-outs, leveraged buyouts, recapitalizations, and tender offers
  • Excellent verbal and written communication skills, with the ability to clearly and concisely explain complex legal concepts
  • Outstanding research, analytical, and problem-solving abilities with a strong business-oriented approach
  • Demonstrated commitment to delivering high-quality client service in a team-oriented environment
  • Strong work ethic, leadership skills, and a proactive attitude toward increased responsibility
  • Juris Doctor (JD) from an accredited law school
  • Active bar membership in the relevant state or eligibility to waive in
