Key Responsibilities
• Represent clients in complex mergers, acquisitions, and joint venture transactions
• Draft, review, and negotiate transaction agreements and related corporate documents
• Lead and manage due diligence processes, including coordination with cross-functional teams
• Oversee transaction logistics from initial structuring through signing and closing
• Communicate directly with clients, opposing counsel, and stakeholders on key deal issues
• Provide strategic legal advice on corporate governance and transactional risks
• Collaborate with partners and senior attorneys on high-profile, multi-jurisdictional matters

Qualifications
• 3–6 years of experience as a Corporate M&A Attorney at a law firm or in-house legal department
• Juris Doctor (JD) from an accredited law school
• Admission and good standing with the New York, Texas, or California Bar
• Strong experience handling mergers and acquisitions transactions
• Exceptional drafting, negotiation, and analytical skills
• Ability to manage multiple deals and deadlines in a fast-paced environment
• Excellent communication and interpersonal skills with a client-focused mindset
