We are partnering with a rapidly growing distributed generation renewable energy platform to appoint a Deputy General Counsel focused on project finance, tax equity, capital markets, and strategic transactions.


This is an exceptional opportunity for a Project Finance Attorney looking to move beyond a traditional legal advisory role and become a key participant in the strategic growth of a renewable energy platform.


The successful candidate will work directly alongside the General Counsel, CFO, Capital Markets, Development, and Executive Leadership teams, helping structure, negotiate, and execute the financings and transactions that drive the company's growth. Unlike many in-house legal opportunities, this role places the successful candidate at the center of commercial decision-making. You will not simply be documenting transactions; you will be helping shape them.


This position is designed as the clear successor to the General Counsel, with a defined path toward assuming the GC role within 18–36 months.

Key Responsibilities

Project Finance & Capital Markets Leadership

  • Lead legal execution across all project financing activities.
  • Partner directly with the CFO and Capital Markets team on financing strategy.
  • Structure and negotiate tax equity financings; partnership flip transactions; transferability structures; construction debt facilities; back-leverage financings; warehouse facilities; portfolio financings and structured capital solutions.
  • Advise on financing strategy from early-stage development through financial close.
  • Coordinate financing processes with lenders, tax equity investors, rating agencies, consultants, and external counsel.

Strategic Transactions & M&A

  • Lead acquisitions, divestitures, portfolio sales, and strategic investments.
  • Structure and negotiate Membership Interest Purchase Agreements (MIPAs); Asset Purchase Agreements; Joint Venture Agreements; Development acquisitions; Portfolio acquisitions; Platform investments.
  • Support diligence and transaction execution across all strategic initiatives.

Executive & Commercial Advisory

  • Serve as a trusted advisor to the CEO, CFO, General Counsel, and Development leadership.
  • Participate in strategic discussions regarding capital deployment, portfolio growth, and monetization strategies.
  • Evaluate legal and commercial considerations associated with financing and investment decisions.
  • Support relationships with tax equity investors; infrastructure funds; banks; debt providers; institutional investors and strategic partners.

Platform Growth & Capital Strategy

  • Help develop scalable financing structures to support long-term growth.
  • Support portfolio-level financing initiatives and capital recycling strategies.
  • Advise on institutional investment structures and capital partnerships.
  • Contribute to investment committee and executive-level decision making.

Legal Leadership

  • Manage external counsel and transaction budgets.
  • Develop internal precedents, playbooks, and transaction frameworks.
  • Improve transaction efficiency and execution processes across the platform.
  • Support the General Counsel in building a best-in-class legal function.


Candidate Profile

The ideal candidate will bring:

  • 8–15+ years of project finance experience.
  • Experience at a leading law firm such as Latham & Watkins, Milbank, Winston & Strawn, Vinson & Elkins, Norton Rose Fulbright, Orrick, White & Case, A&O Shearman, Kirkland & Ellis, or similar.
  • Significant experience representing sponsors, tax equity investors, infrastructure funds, banks, debt providers and/or renewable energy developers.
  • Deep expertise across tax equity, partnership flips, debt financings, transferability structures, structured finance and energy M&A.
  • Strong commercial judgment and business acumen.
  • Desire to move closer to the business and become a strategic advisor rather than solely outside counsel.
  • Interest in ultimately stepping into a General Counsel leadership role.
