About the Firm:
A nationally recognized law firm is seeking a Debt Finance Associate to join its growing Finance practice in Cleveland. This opportunity offers exposure to a wide range of sophisticated financing transactions, including syndicated and bilateral credit facilities, leveraged acquisitions, and secured lending matters. The role is ideal for attorneys looking to gain hands-on experience in complex deal execution while working with high-profile clients in a collaborative and fast-paced environment.
Responsibilities:
• Represent lenders, arrangers, agents, and borrowers in debt finance transactions
• Draft, review, and negotiate credit agreements, loan documents, and related transaction materials
• Work on a variety of credit facilities, including secured term loans, revolving facilities, and leveraged financings
• Support diligence processes, including review of organizational documents and preparation of disclosure schedules
• Coordinate and manage complex closing processes
• Negotiate third-party deliverables such as control agreements and waivers
• Collaborate with partners and deal teams on transaction structuring and execution
Qualifications:
✔ 3–6 years of debt finance or banking law experience
✔ Experience with syndicated and bilateral credit facilities
✔ Strong drafting and negotiation skills with loan and credit documents
✔ Familiarity with UCC Article 9 and secured transactions
✔ Experience handling diligence and closing processes
✔ Strong academic credentials and analytical skills
✔ Admission to the Ohio Bar required

💰 Compensation: $220,000–$250,000 annually (based on experience and market factors), along with performance- and hours-based bonus opportunities and a comprehensive benefits package.
