We are assisting an AmLaw 100 firm with its search for a Corporate Paralegal Manager to lead its corporate paralegal team and directly support transactional matters. Working with firm leadership and corporate attorneys, you’ll oversee staffing, workflow, training, and quality standards across a broad corporate practice (M&A, private equity, venture capital, securities, and finance).
Key Responsibilities
Team Leadership & Operations
- Lead day-to-day management of the corporate paralegal team, including staffing, workload allocation, utilization, and coverage across matters.
- Drive performance management (feedback, evaluations, compensation input) and mentor the team’s development and engagement.
- Partner on onboarding, training, and cross-training; maintain templates, best practices, and continuous improvement initiatives.
- Oversee administrative operations such as timekeeping, PTO/overtime approvals, and productivity/utilization reporting.
Substantive Corporate Paralegal Work
- Provide hands-on corporate paralegal support while leading the team (player-coach).
- Support corporate transactions including formations, financings, M&A, restructurings, and dissolutions.
- Prepare and quality-control transaction documents (board/stockholder materials, diligence summaries, closing sets and volumes).
- Maintain cap tables and equity administration (e.g., Carta, Pulley, AngelList, ShareWorks).
- Maintain corporate records and coordinate key filings/compliance (UCC, Blue Sky, SEC, and related deadlines).
Qualifications
- Bachelor’s degree required; paralegal certification a plus.
- 5+ years of corporate paralegal experience in a law firm (ECVC, M&A, private equity, securities).
- Strong communicator with proven leadership/mentoring experience and excellent judgment handling confidential information.
- Comfortable with Microsoft Office and common legal/deal tools (e.g., iManage, DocuSign, and equity platforms such as Carta/Pulley).
- Highly organized and detail-oriented; able to manage high-volume transactional work with competing deadlines.
Compensation
For candidates meeting the requirements, the expected base salary range is $150,000 to $175,000. Exact compensation will be determined based on qualifications and geographic location.
Location & Schedule
Office locations: Roseland, NJ; Palo Alto, CA; New York, NY; Washington, DC
Schedule: Full-time, hybrid (Monday–Friday). Overtime and occasional weekends may be required during deal closings.
