Hourly Rate: $50.00–$60.00 per hour

Duration: 3+ Month Contract with Potential for Direct Hire Conversion

This is an exciting opportunity for an experienced Corporate Paralegal to join a sophisticated legal team supporting entity management, corporate governance, transactional matters, and legal operations. The position offers the potential to convert into a long-term direct hire opportunity.


About the Role

The Corporate Entity Management Paralegal will play a critical role in supporting corporate governance initiatives, maintaining legal entities across multiple jurisdictions, and assisting with transactional and compliance-related matters. The ideal candidate will bring strong corporate governance experience, exceptional organizational skills, and the ability to manage multiple priorities in a fast-paced legal environment.


Key Responsibilities

• Support corporate governance activities, including entity management and maintenance of corporate records.

• Prepare, review, and maintain corporate documents, including resolutions, minutes, consents, organizational documents, and governance records.

• Assist with entity formations, dissolutions, mergers, restructurings, and other corporate transactions across multiple jurisdictions.

• Maintain and update corporate databases, legal records, and entity management systems.

• Coordinate due diligence activities, document collection, organization, and transaction closing support

• Draft and review standard corporate agreements and related legal documentation.

• Track compliance deadlines, annual filings, registrations, and corporate governance requirements.

• Coordinate with internal business stakeholders, attorneys, and external service providers to facilitate timely completion of legal matters.

• Support attorneys with special projects, legal research, and administrative legal functions as needed.


What We're Looking For

• Bachelor's Degree or equivalent combination of education and relevant experience.

• 5+ years of experience as a Corporate Paralegal with significant corporate entity management experience.

• Strong knowledge of corporate governance principles and legal entity management.

• Experience preparing and maintaining corporate records, resolutions, minutes, and governance documentation.

• Experience supporting transactional matters, including due diligence and closing activities.

• Strong organizational skills with exceptional attention to detail.

• Ability to manage competing priorities and work independently in a dynamic environment.

• Must be able to work in a hybrid capacity, including three days onsite in Houston, TX.


Preferred Qualifications

• Experience supporting multinational or highly regulated organizations.

• Familiarity with the energy, oil & gas, infrastructure, industrial, or renewable energy sectors.

• Experience with entity management platforms such as Diligent, CSC, CT Corporation, or similar systems.

• Experience managing cross-border legal entities and international corporate governance matters.

• Demonstrated ability to identify and implement process improvements, automation initiatives, and operational efficiencies.
