Corporate Paralegal

Duvera Consulting LLC
Austin, TX

Newly Created Role - Senior Paralegal | North Austin (The Domain area) – In-Office

This is not your typical paralegal role.

We’re hiring a Senior Paralegal to sit at the center of a high-velocity, deal-driven environment—supporting a sophisticated contract portfolio across power purchase, construction, equipment supply, real estate, and project finance.

You’ll report directly to the General Counsel and operate as a true right hand in keeping deals moving. This is a hands-on, execution role. Not litigation support. Not document review.

You will own workstreams, move contracts to execution, and keep complex legal operations running without being told what to do next.

What You’ll Own

Contract Lifecycle Management

  • Manage redlines, execution, and storage across 50+ active agreements (CMAR, EPC, MSAs, SOWs, leases, easements, NDAs)
  • Maintain and own the contract tracker (status, counterparties, key dates, renewals, terminations)
  • Drive documents through execution—version control, signature blocks, exhibits, and DocuSign routing
  • Draft, review (within template), and execute NDAs across vendors, counterparties, and candidates

Corporate & Entity Management

  • Oversee entity formation, good standing, annual filings, and Secretary of State registrations across SPVs (LandCo, PowerCo, DataCo, etc.)
  • Draft and track board consents, resolutions, officer certificates, and incumbency certificates
  • Maintain corporate records, minute books, and governing documents

Project Finance & Transaction Support

  • Support financial close processes: disclosure schedules, CP tracking, closing checklists, KYC, and lender requests
  • Coordinate signature pages, execution versions, and closing binders
  • Manage outside counsel deliverables and documentation

Knowledge Management

  • Build and maintain the legal infrastructure—contract database, SharePoint, and internal systems
  • If a system doesn’t exist, you build it

What We’re Looking For

Required

  • 10+ years of paralegal experience (law firm or in-house)
  • Bachelor’s degree; paralegal certification (NALA CP or equivalent) preferred
  • Experience in project finance, energy/power, real estate development, infrastructure, construction, or corporate/M&A
  • Strong command of DocuSign, Microsoft 365, and contract management tools
  • Proven ability to run workstreams independently
  • Sharp attention to detail without losing the bigger picture
  • High level of discretion with sensitive information

Bonus

  • Data center, energy, or infrastructure experience
  • Prior involvement in financial close or large-scale project finance transactions
  • Texas Notary (or willingness to obtain immediately)
  • Familiarity with EPC structures or behind-the-meter power

Location & Compensation

  • Full-time, in-office in North Austin (The Domain area)
  • Competitive base salary + bonus + equity
  • Immediate start preferred
