Corporate Finance Partner

Finance Partner - Non-Equity - New York

Our client is a premier firm, which is seeking a senior level non-equity partner candidate for its New York office. This role may be open to working remotely. This position is compensating at $1.15-$1.5M per year.

Qualifications

• 8+ years of experience in managing complex U.S, and international finance transactions, including leveraged and investment grade financings, asset-based loans, bridge financings, debtor-in-possession financings, corporate restructurings, and corporate recapitalizations.
• Substantial experience drafting, reviewing, and negotiating a range of contracts, terms and agreements including financing terms, commitment, fee and engagement letters, term sheets, credit and intercreditor agreements, lenders, purchase and merger agreements, guarantees, security and pledge agreements, consent solicitations, notes, warrants, side letters, payoff letters, and legal opinions.
• Experience supervising due diligence investigations and preparing and reviewing question lists.
• Experience providing legal advice on structuring terms related to corporate financing transactions and identifying and assessing risk and issues associated with financings, especially on fatal flaw analysis.
• New York bar admission is required.
