I am working with a leading national law firm seeking a midlevel Corporate Associate to join its Chicago office. This role will have a focus on emerging companies and venture capital matters.

This role offers the opportunity to work closely with founders, growth‑stage companies, and venture investors on high‑impact transactions, while serving as a trusted outside corporate advisor throughout the company lifecycle.


The Role

The associate will support a sophisticated EC/VC practice, including:

  • Advising emerging companies and venture capital investors on corporate and transactional matters from formation to exit
  • Drafting and negotiating venture financing documents.
  • Providing guidance on corporate governance.
  • Supporting M&A transactions, joint ventures, and other strategic transactions
  • Conducting due diligence and assisting with transactional closings
  • Acting as outside corporate counsel to early‑stage and later‑stage private companies
  • Managing internal teams and coordinating with external counsel and clients


Candidate Profile

  • 3–6 years of corporate transactional experience, with a focus on EC/VC.
  • JD from an ABA‑accredited law school
  • Licensed in Illinois.
  • Strong academic credentials
  • Excellent research, drafting, and communication skills
  • Ability to manage multiple matters and client relationships effectively
