POSITION OVERVIEW

We are seeking a detail-oriented Contracts Specialist to join our team in The Woodlands, TX.

The Contracts Specialist reports to the Corporate Counsel & Contracts Manager and provides end-to-end contract support focused on the review, redlining, preparation, execution, and management of client, subcontractor, consultant, and vendor agreements. This role partners closely with internal stakeholders to ensure timely, accurate, and compliant contract execution using approved templates, e-signature tools, and contract management platforms.


KEY RESPONSIBILITIES AND ESSENTIAL DUTIES


Contract Review, Drafting & Negotiation

  • Review, redline, and negotiate client, subcontractor, consultant, and vendor agreements, including MSAs, Staffing Agreements, Consultancy Agreements, Professional Services Agreements, and Vendor/Subcontractor Agreements.
  • Review, redline, and prepare Non-Disclosure Agreements (NDAs) using approved templates.
  • Draft client and vendor agreements using pre-approved templates and tailor terms as needed.
  • Respond to counterparty comments and escalate deviations from approved language.


Contract Execution & Lifecycle Management

  • Manage contracts from intake through execution.
  • Coordinate approvals and signatures using electronic signature platforms.
  • Ensure contracts are fully executed, documented, and stored.


Contract Management Systems & Reporting

  • Maintain contract records in contract management platforms such as Bullhorn or similar systems.
  • Track renewals, expirations, amendments, and deadlines.
  • Generate contract status and compliance reports.


Compliance & Stakeholder Support

  • Communicate contractual obligations to internal teams.
  • Assist with contract interpretation and issue resolution.
  • Support compliance with contracting policies and procedures.


Process Improvement

  • Assist in improving templates, playbooks, and contracting workflows.


QUALIFICATIONS


Education & Experience

  • Bachelor’s degree, Paralegal certificate, or equivalent experience.
  • 5–10 years of contract drafting, review, and negotiation experience.


Technical & Professional Skills

  • Experience with contract templates, e-signature tools, and contract management systems.
  • Proficiency in Microsoft Office and Adobe Acrobat.
  • Strong attention to detail, organization, negotiation, and communication skills.
