Position Overview: NewCo Capital Group (BizCap), a commercial financing provider, is seeking a full-time Associate Corporate Counsel to join the team. In this role, you will play a key part in handling corporate and contract matters, assisting with finance transactions (capital raise, commercial financing, fintech, payments) and general corporate governance matters. Key Responsibilities:
· Negotiate, draft and review commercial financing contracts, NDAs, vendor, referral partner, and investor agreements.
· Monitor and assist with compliance and corporate governance matters.
· Stay up-to-date on relevant legal developments, including fintech and financial services regulations, communicate their implications to the leadership team, and assist with compliance implementation and monitoring
· Provide legal counsel and guidance to various business units within the company and to a global group, helping to identify and mitigate legal risks.
· Collaborate with external counsel as necessary and manage outside legal relationships effectively.
Qualifications:
· Juris Doctor (JD) from an accredited law school and admission to the bar in the relevant jurisdiction.
· 3+ years of corporate/transactional and financing experience in fintech or commercial financing company.
· Strong legal research and analytical skills.
· Exceptional written and verbal communication skills.
· Ability to work independently, manage multiple tasks, and meet deadlines.
· Team player with excellent interpersonal skills.
· Fluent German language and knowledge of receivables-based financing is a plus.
Benefits:
Compensation: $135,000 - $150,000 a year
