Transactional lawyer to provide advice and counsel to the range of business lines and products that comprise CA-CIB’s global markets activities.
Key Responsibilities
Provide transactional and legal advice with respect to global markets activities, with a particular emphasis on debt capital markets, securitization activities as well as the bank’s note programs.
Activities include drafting and reviewing underwriting and purchase agreements, private placement agreements, dealer agreements and engagement letters
Counsel and assist in negotiations with clients and other parties with respect to global markets activities in the United States
Provide legal advice and memoranda on capital market and securities law questions and the impact of new legal developments on covered activities, including in support of CA-CIB’s new activities and products approval processes
Assist in the development of forms and template documents used by covered businesses
Engage, coordinate, and supervise external counsel acting on behalf of CA-CIB in all relevant jurisdictions and on all relevant subject matters
Prepare and contribute to numerous internal reports and systems relating to the management of legal risk
Assist in drafting internal governance texts, policies and procedures relating to the legal function and to covered businesses and products
Stay current on market and legal developments affecting covered businesses and products
Organize and participate in internal training targeted towards the front office, legal, compliance and other support functions
Uphold CA-CIB’s codes of ethics, culture and conduct in all matters, including with respect to matters of diversity and inclusion and the identification and escalation of financial crimes risks

New York qualified with J.D. and undergraduate degrees from highly regarded institutions
Experience
At least 3 years’ relevant experience in a nationally recognized law firm and/or global financial institution legal department covering sophisticated transactions
Securities law background
Familiarity with securitization structures (e.g. commercial paper conduits, special purpose vehicles) and asset backed products

Key Desired Competencies
Project management skills or experience helpful but by no means essential or required
Fluency in French helpful but is by no means essential or required
Technology background and familiarity with current legal tech solutions would be an asset
