Terrific VP, AGC, Corporate Opportunity in South Florida – Can Lead to GC Position of Publicly Traded Company in Future
We are working with a large company that is seeking an experienced and strategic VP, AGC, Corporate - to lead all corporate governance and securities matters for the organization along wioht handling other corprate and compliance matters. This senior legal leader will serve as the primary attorney for corporate and securities, act as Assistant Corporate Secretary, and provide direct counsel to executive leadership and the Board of Directors. The General Counsel for this company is looking for a succession plan to take over his position.
The ideal candidate brings deep public‑company expertise, strong business acumen, and the ability to operate in a fast‑moving, global environment.
Responsibilities
- Corporate Governance & Board Support
- Serve as Assistant Corporate Secretary, ensuring adherence to best‑in‑class governance practices.
- Lead corporate and subsidiary governance, including Board and committee support, corporate records, resolutions, and governance frameworks.
- Partner with senior leadership to ensure compliance with stock exchange rules, corporate governance requirements, and evolving regulatory expectations.
- Oversee all securities law matters, including SEC reporting, disclosure controls, and public‑company compliance.
- Manage the preparation, review, and filing of Forms 10‑K, 10‑Q, 8‑K, proxy materials, and other SEC filings.
- Provide counsel on corporate finance transactions, including debt, equity, and secondary offerings.
Experience
- 10+ years of legal experience, including significant practice in corporate governance, SEC reporting and securities law and general corporate law.
- Preferred BigLaw experience
- Demonstrated experience advising public‑company boards and managing all aspects of SEC disclosures.
- Strong background in corporate transactions and capital markets work
