Summary

We have a temporary contract need for a Corporate Paralegal on a remote schedule for 6 months with the opportunity for extension dependent upon business needs.

You will report to both the General Counsel, Chief Compliance Officer and the Deputy General Counsel working in a fast paced and lean department. You will work independently and collaborate with colleagues across the organization to implement certain legal administration, process and reporting functions.

Responsibilities:

  • Prepare corporate and organization documents; keep accurate lists and reminders for annual corporate maintenance; maintain minute books and corporate records.
  • Prepare incorporation/formation documents and coordinate with corporate filing agents.
  • Draft, prepare and distribute Board materials including but not limited to: resolutions and consents; meeting minutes, notes, forms and notices.
  • Form corporate entities (typically DE LLCs) and draft-related operating agreements using operating agreement template.
  • Review, file and update legal agreements and SEC filings.
  • Organize, respond to and manage due diligence requests.
  • Provide administrative support relating to legal documentation, contract compliance program and entity management system.
  • Track legal matters and deadlines, including reporting requirements, due diligence requests, compliance deadlines and litigation matters.
  • Update all Entity Corporate relationships, Corporate Structure Charts of Organization

Minimum Requirements:

  • Five to seven years of corporate paralegal experience in both a law firm and in-house setting preferred.
  • Bachelor's degree or completion of paralegal program
  • Experience interacting and performing paralegal work with and for a Company Board, Corporate and SEC work.
  • Effective communication and people skills to successfully build Cross functional relationships with external stakeholders as needed.
  • Knowledge of and ability to create, organize, update and navigate SharePoint sites.
  • Experience forming corporate entities and drafting related operating agreements preferred.
  • Intermediate skills with Microsoft Office programs such as Word and Excel.
  • Analytical and detail oriented.
  • Ability to manage multiple priorities meeting strict and often competing deadlines.
  • Proven ability to develop new ideas and creative solutions.
  • Pro-active, self-sufficient and highly motivated to produce results and accomplish work.
  • Highly motivated and possess a strong sense of ownership.
  • Strong organizational skills and the ability to prioritize.
  • Experience with Board Material Data Systems such as Boardvantage. Ability to understand and learn other business software.
