About the Role

A leading financial services organization is seeking a highly experienced legal professional to join its executive legal team as SVP, Lead Structured Finance & Treasury Counsel. This role offers the opportunity to work on high level transactions and engage with multiple teams and C-suite stakeholders throughout the organization. This hire will serve as the lead attorney supporting transaction execution.

Key Responsibilities

  • Serve as a senior legal advisor on matters involving structured finance transactions, securitizations, and mortgage servicing rights (MSRs).
  • Provide legal oversight for capital markets activities, including warehouse lending, repurchase agreements, and investor relations.
  • Advise on regulatory compliance with federal and state laws impacting mortgage servicing and securitized products.
  • Collaborate with internal business units, including finance, operations, and risk, to structure transactions and mitigate legal risk.
  • Manage external counsel relationships and oversee legal due diligence for complex financial transactions.
  • Support executive leadership with strategic legal advice and participate in enterprise-level decision-making.


Qualifications

  • J.D. from an accredited law school and active membership in good standing with at least one U.S. state bar.
  • Minimum of 5 years of experience in mortgage loan-related financing, including warehouse lending, repo and participation structures, or securitizations.
  • Deep understanding of capital markets, securitization structures, and mortgage servicing regulations.
  • Proven ability to manage complex legal issues and provide practical, business-oriented solutions.
  • Exceptional communication, negotiation, and leadership skills.


Preferred Attributes

  • Experience working in a fast-paced, highly regulated financial services environment.
  • Familiarity with GSE guidelines, REMIC structures, and servicing agreements.
  • Demonstrated ability to lead cross-functional teams and influence senior stakeholders.
