Job Description As a member of the BAE Systems, Space & Missions Systems Legal Department, located in Broomfield Colorado, the selected individual will provide responsive, superb-quality legal knowledge, as well as utilize his/her business judgment to effectuate meaningful support as the Supply Chain Counsel in support of BAE Systems mission – to provide a vital advantage to help our customers protect what really matters. This role provides the opportunity to serve as Supply Chain Counsel in support of the Space & Mission Systems Sector (“SMS”). The Integrated Supply Chain team has a direct impact on program success, acting as a critical chain that links the end-to-end material flow together. The Supply Chain Counsel will proactively advise and provide legal services to procurement professionals, subcontract managers, and program leadership for a wide range of areas where business legal issues arise - government, international and commercial contracting, and other compliance matters while enabling program execution and risk mitigation across complex defense programs.
The Supply Chain Counsel will be required to utilize his/her business insight as much as their legal knowledge. Counsel will also be responsible for handling legal work relating to all aspects of both U.S. Government contracts and commercial transactions (including international opportunities) and may see their portfolio expanded to cover additional responsibilities.
As a key member of the legal team, the Counsel will provide general support and report directly to the Vice President and Chief Counsel in providing legal advice and representation in a diverse portfolio of matters. This position requires regular, frequent interface with our business colleagues. The right candidate will thrive in an atmosphere which requires daily integration with business and program employees.
What You’ll Do:
- Advise and partner with Supply Chain and the SMS business with regard to compliance with federal and state laws and regulations applicable to doing business as a global defense contractor.
- Develop expertise in laws and regulations that affect SMS business, staying current on legislative issues, statutes, decisions, laws, regulations and ordinances and provide associated guidance to Supply Chain.
- Draft, review and/or oversee the drafting and negotiation of a wide range of legal/contractual documents, including, but not limited to, commercial, international and government contract documents, subcontracts, non-disclosure agreements, teaming agreements, acquisition and disposition agreements, leases, licenses, and supplier agreements.
- Advise supply chain personnel on flow down requirements from prime contracts governed by the Federal Acquisition Regulation (FAR) and Defense Federal Acquisition Regulation Supplement (DFARS) and other government agency regulations.
- Under the general direction and supervision of the Chief Counsel and business Senior Counsel, assist with analysis and advice function as liaison between Supply Chain management and outside legal counsel regarding litigation and pre-litigation matters.
- Advise capture and proposal teams on supply chain legal risks in new business opportunities.
- Partner with program management, finance, compliance, and contracts organizations to ensure alignment across program execution.
- Assist with the development and delivery of training programs for procurement and subcontract professionals focused on federal regulations, FAR/DFARS flow downs, and best practices for negotiating terms and conditions.
- Support development of standardized subcontract templates and procurement policies.
- Participate in review, interpretation and drafting of various company policies and procedures impacting Supply Chain.
- Support and advise supply chain teams during government audits or inquiries.
- Conduct internal investigations, under the supervision of the Chief Counsel and Senior Counsel; partners with Ethics, Human Resources, Security, International Compliance and other functions as appropriate.
- Accept other tasks as assigned by Senior Counsel and Chief Counsel.
- Maintain a safe work environment and ensures compliance with safety objectives and policies.
- Maintain a regular and predictable work schedule.
- Establish and maintain effective working relationships within the department, the Strategic Business Units, Strategic Capabilities Units and the Company. Interact appropriately with others in order to maintain a positive and productive work environment.

On-Site Work Environment: This position requires regular in-person engagement by working on-site five days each normally scheduled week in the primary work location. Travel and local commute between company campuses and other possible non-company locations may be required.
Working Conditions:
- Work is performed in an office environment, laboratory, cleanroom, or production floor.
Required Education, Experience, & Skills - J.D. from an ABA accredited law school and 8 or more years of related experience.
- Admitted to the Colorado Bar or ability to be granted Single-Client admission to the Colorado Bar.
- 5-8 years of legal experience in a law firm, in-house, or government setting with a primary focus on U.S. Government contracting.
- Demonstrated expertise with FAR/DFARS subcontracting requirements.
- Experience negotiating complex commercial or government contracts.
- High moral compass with unquestioned integrity and ethics.
- In depth knowledge of U.S. Government contracts issues, including FAR and DFARS.
- Excellent communication skills and the ability to deal with executives and employees at all levels.
- Outstanding organizational and analytical skills and the ability to work efficiently to achieve deadlines and goals.
- Must be a self-starter, able to manage and prioritize a multitude of complex and challenging situations with little supervision.
- Willingness to continue developing professionally and continue to improve, enhance and grow your capabilities.
- Demonstrated record of leadership and team skills.

- Experience advising procurement organizations on supplier risk and intellectual property rights.
- Active TS/SCI clearance or the ability to obtain such a clearance.
- Knowledge of foreign military sales contract issues.
- Familiarity with ITAR, EAR and U.S. export control laws.
Pay InformationFull-Time Salary Range: $153377 - $260743
