Senior Counsel - PE-backed Insurance Platform (NYC)
Our client, a leading, growth-oriented insurance platform is seeking a Senior Counsel to support its managing general agent (MGA) business units. This individual will serve as a key legal advisor across transactional, regulatory, corporate governance, and compliance matters, partnering closely with business leadership to drive strategic initiatives while effectively managing risk.
Responsibilities:
- Provide pragmatic, business-oriented legal counsel on insurance, corporate, and regulatory matters impacting MGA operations
- Partner with senior leadership to support strategic initiatives and advise on complex, high-impact issues with enterprise-level implications
- Lead drafting, review, and negotiation of key agreements, including MGA/program administrator, producer/broker, strategic partnership, non-disclosure, and vendor (including IT/technology) contracts
- Oversee general commercial contracting and ensure alignment with legal, compliance, and business objectives
- Advise on insurance regulatory requirements across multiple jurisdictions; support filings, reporting obligations, and responses to regulatory inquiries or examinations
- Build and maintain relationships with regulators and industry groups while supporting broader regulatory strategy
- Oversee corporate governance for a large portfolio of legal entities, including board and committee support and entity management matters:
- Advise on corporate transactions, restructurings, and related governance considerations
- Provide guidance on compliance frameworks, including data privacy, cybersecurity, and emerging technology (e.g., AI), and support enterprise-wide governance initiatives
- Lead internal training efforts on legal, regulatory, privacy, and cybersecurity risks
- Manage and mentor legal staff and paraprofessionals, including oversight of licensing, governance, and special projects, while coordinating internal and external legal resources
Qualifications:
- Juris Doctor from an accredited law school with strong academic credentials
- Active bar admission in at least one U.S. jurisdiction
- 7–10 years of experience as a practicing attorney, including at least 3 years supporting MGA or similar insurance platform operations
- Significant experience with insurance transactional and regulatory matters
- Strong drafting and negotiation skills across complex commercial and insurance-related agreements
- Demonstrated ability to advise on regulatory and compliance frameworks, including data privacy and cybersecurity
- Proven ability to manage multiple priorities in a fast-paced, highly regulated environment
- Strong business judgment and a practical, solutions-oriented approach to legal problem-solving
- Excellent communication skills with the ability to influence stakeholders at all levels
- High degree of professionalism, integrity, and sound judgment
