Role Overview
We are hiring a Corporate Paralegal to serve as a core member of the legal function, providing broad support across corporate governance, public company compliance, entity management, and contract administration. This is a hands-on, autonomous role for someone who thrives in a fast-paced environment and is comfortable working directly with executives on time-sensitive matters. The right candidate builds process and systems where they don't yet exist, brings sound judgment to sensitive matters, and understands what it means to support a public company legal team with a lean footprint and high expectations.
Responsibilities
- Support SEC reporting obligations including 8-Ks, proxy statements, and annual reports
- Manage corporate governance processes — board and committee minutes, resolutions, written consents
- Maintain entity management across subsidiary structures in multiple jurisdictions
- Own and administer the company's contract lifecycle management system and document management infrastructure
- Support Section 16 compliance and equity plan administration
- Prepare and maintain board governance materials and corporate records
- Draft and review routine corporate documents and correspondence
- Support M&A and financing transactions through due diligence organization and document management
- Build and maintain internal legal processes, templates, and playbooks as the team scales
Requirements
- 5–10 years of corporate paralegal experience in-house
- Public company experience required — direct involvement in SEC filings (8-Ks, proxy, Section 16) is the key differentiator
- Corporate governance depth — board minutes, resolutions, subsidiary management
- Experience with contract lifecycle management systems
- Comfort operating with autonomy in a lean, fast-moving environment with limited supervision
- Strong written communication and professional judgment working directly with senior executives
- Based in or able to commute to Boulder, CO — hybrid role, 3–4 days in office
Preferred
- Sector background in energy, infrastructure, data centers, or capital-intensive industrials
- Experience with equity plan or cap table administration
- Familiarity with NYSE or Nasdaq listing requirements
