Key Responsibilities
• Advise venture-backed startups and emerging growth companies on corporate governance and day-to-day legal matters.
• Represent founders, investors, and companies in venture capital financings and investment transactions.
• Counsel clients through seed, Series A, Series B, and later-stage financing rounds.
• Assist clients with mergers, acquisitions, strategic partnerships, and liquidity events.
• Draft and negotiate financing documents, shareholder agreements, and corporate governance materials.
• Provide strategic legal guidance to rapidly growing businesses throughout their lifecycle.
• Work closely with investors, founders, boards of directors, and executive leadership teams.
• Conduct due diligence and transaction management for complex corporate transactions.
• Collaborate with attorneys across multiple offices and practice groups on sophisticated matters.
• Support clients in navigating legal and business challenges associated with growth and expansion.

Qualifications
• 3–6 years of corporate transactional experience.
• Significant experience representing early-stage and growth-stage companies.
• Experience handling venture capital financings and liquidity events.
• Background in the corporate department of a national or international law firm.
• Strong academic credentials from a nationally recognized law school.
• Juris Doctor (JD) degree required.
• Active bar membership in good standing.
• Exceptional drafting, negotiation, and analytical skills.
