Role Description

The Transactional & Probate Paralegal is a full-time IN OFFICE position that supports attorneys in business transactions and probate matters, assisting with document preparation, case management, and client communication. This role requires strong organizational skills, attention to detail, and the ability to manage multiple matters in a deadline-driven environment.


Transactional Duties:

  • Assist with drafting, reviewing, and organizing transactional documents, including contracts, agreements, and corporate filings
  • Support business formations, including preparing and filing documents for LLCs, corporations, and partnerships
  • Conduct due diligence by reviewing contracts, corporate records, and regulatory filings
  • Organize and maintain transaction files, data rooms, and closing binders
  • Coordinate transaction closings, including tracking deliverables and obtaining signatures
  • Communicate with clients, attorneys, and third parties to gather required documentation 


Probate Duties:

  • Assist with probate and estate administration from opening through closing
  • Prepare and file probate documents, including applications, inventories, accountings, and final reports
  • Maintain and organize probate files and court records
  • Communicate with clients, beneficiaries, courts, and third parties regarding case status and documentation
  • Calendar deadlines and ensure compliance with court requirements
  • Assist with asset collection, valuation, and distribution processes


General Responsibilities:

  • Maintain accurate case files and document management systems
  • Track deadlines and manage multiple matters simultaneously
  • Ensure compliance with applicable laws, regulations, and court rules
  • Provide administrative and clerical support to attorneys as needed


Qualifications

  • Bachelor’s degree or Paralegal certificate preferred
  • 2+ years of experience in transactional law, probate, or estate planning (combined experience preferred) Strong understanding of legal terminology and transactional processes
  • Knowledge of corporate and probate procedures and terminology
  • Proficiency in Microsoft Office (Word, Excel, Outlook); experience with legal software or document management systems is a plus
  • Excellent organizational skills and attention to detail
  • Strong written and verbal communication skills 
  • Familiarity with state-specific probate rules and filing systems
  • Experience with entity formation and corporate governance
  • Ability to manage a high-volume caseload in a fast-paced environment
