Job Description
Job responsibilities include (but are not limited to):
- Provides a full spectrum of company secretarial and statutory duties to Platinum organisation, Joint Ventures and Trusts in South Africa and the United Kingdom in accordance with the legislative duties set out in the relevant Companies Act.Deliver high quality performance reporting and impact metrics to show progress in achieving the milestone towards the education and health goals and targets.
- Draft and supports compilation of company annual report
- Support service to other departments i.t.o statutory queries, copies of documents, drafting of schedules, completion of questionnaires, and other company secretarial matters
- Dealing with third parties (inter alia, JSE, LSE, FCA sponsors, and transfer secretaries) on all issues relating to portfolio of companies and trusts to ensure compliance.
- Involvement in special projects and taking responsibility for the statutory work related to the project.
- Ensuring compliance with the requirements of the applicable Companies Act and interprets and communicates regulatory changes to the client base and directors.
- Preparation of SENS and FCA announcements and press releases when necessary
- Review the Authority Policy Manual and ensure compliance with regards to approvals.
- Ensure that directors adhere to the governance standards as detailed in King IV and UK Corporate Governance Code by compiling and monitoring a register,
- Conduct continuous research to ensure knowledge of developments in corporate governance to improve and maintain good governance
- Facilitate board and committee evaluations as well as individual director evaluations to ensure a director training plan is formulated for continuous improvement
- Review and provide input into corporate circulars and regulatory requirements pertaining to various corporate actions such as acquisitions and divestments, stock exchange listings, dividend re-investment plans, buy-backs and allotment issues.
- Establish and management of relationships with internal and external stakeholders.
- Transparent conversations and open engagement with stakeholders and liaison with external associations
- Query resolution with internal and external stakeholders. • Manages the performance of the Principal and Specialist – Company Secretarial.
- Development and mentoring of direct reports.
- Regular meetings with direct reports.
- Manages the performance of the Group Company Secretarial Department
- Managing and mentoring colleagues to deliver results within strict deadlines
- Stay abreast of changes and best practice in the Company Secretarial field.
- Contribute to the ongoing development of Cosec standards and procedures
- Mentoring of junior staff
- Actively participating in monthly Departmental team meetings
- Willingness to learn and take on new initiatives
Qualifications
Qualifications:
- B.Comm, LLB, CIS, or equivalent qualification complete.
Experience:
- 7 – 10 years relevant working experience
Knowledge and Skills:
- A proven track record of having operated at this level in a large corporate environment.
- Experience profile should include JSE Listed Company, the STRATE share dealings process and the planning, organising and execution of company secretarial work on time and within budget.
- LSE experience an advantage
- Excellent communication skills, both written and oral. Initiative for Responsible Mining Assurance (IRMA), Sustainable Development Goals, Broad Based Black Economic Empowerment (BBBEE) etc
