A prominent Am Law firm is seeking a Corporate Mergers and Acquisitions Associate Attorney to join its highly regarded corporate practice in Los Angeles, California. This position is ideal for attorneys seeking to develop sophisticated transactional experience while working alongside nationally recognized corporate lawyers on complex domestic and cross-border transactions.


The successful candidate will have the opportunity to work with public and private companies, private equity sponsors, investors, emerging businesses, and established enterprises on a broad range of corporate matters. Associates receive meaningful responsibility, direct client interaction, and hands-on experience throughout the transaction lifecycle.


This position rarely becomes available at the junior associate level and is actively interviewing qualified candidates.

Job Responsibilities


• Assist with mergers, acquisitions, divestitures, and other strategic corporate transactions

• Draft, review, and negotiate transaction documents and ancillary agreements

• Conduct due diligence reviews involving corporate governance, contracts, compliance, and regulatory matters

• Prepare disclosure schedules and transaction-related documentation

• Support deal teams throughout all phases of transactional matters

• Assist with corporate structuring, governance, and organizational matters

• Coordinate with specialists across multiple practice areas to facilitate transactions

• Communicate with clients, opposing counsel, and transaction participants

• Conduct legal research related to corporate and transactional issues

• Participate in negotiations and transaction management activities

• Review and analyze corporate records and commercial agreements

• Assist with closing processes and post-closing matters

Qualifications


• 1–2 years of experience in a general corporate practice with a focus on mergers and acquisitions

• Active admission to the California State Bar

• Strong academic credentials

• Excellent drafting and transactional document review skills

• Strong written and verbal communication abilities

• Experience working in a collaborative legal environment

• Ability to manage multiple assignments simultaneously

• Strong attention to detail and organizational skills
