Corporate Legal In-Council (In-House)

  • Compensation: $175,000 to $225,000 base salary (commensurate with experience) plus discretionary potential of 20-25% and benefits


Summary:


Corporate In-House Legal Counsel will be a hands‑on legal professional supporting the organization across a broad range of legal, regulatory, and risk matters in a fast‑paced professional services environment. Partner closely with senior leadership to provide practical, business‑oriented legal advice, with a particular emphasis on contracting and corporate governance, while helping the firm navigate complex and evolving legal issues across predominantly U.S. and some international operations. Based in person and requires on‑site presence five days per week. Corporate Counsel reports to the General Counsel.


Responsibilities of Corporate In-House Legal Council:

  • Serve as a trusted legal advisor to senior leadership on corporate, operational, and regulatory matters
  • Draft, review, and negotiate a wide range of contracts and agreements, including client engagements, vendor agreements, and strategic arrangements
  • Support corporate governance activities, including entity management, board-related matters, and internal governance practices
  • Identify, analyze, and resolve legal issues arising in a professional services organization with diverse service offerings and complex regulatory touchpoints
  • Provide legal support across a broad spectrum of issues, including:
  • U.S. and international employment and operational matters (local laws, taxes, permits)
  • Restructuring‑related matters, including Chapter 11 and receivership proceedings
  • Court‑mandated actions such as retention applications and court orders
  • Fiduciary, expert, and advisory engagements
  • Insurance coverage and risk transfer questions
  • Data protection and privacy matters, including GDPR and U.S. privacy frameworks
  • Assist with or lead legal aspects of restructuring, Rx‑related, expert, and fiduciary work, as applicable
  • Conduct due diligence and support legal aspects of business initiatives, transactions, and growth activities
  • Manage litigation, disputes, and claims, including coordination with outside counsel
  • Perform legal research and prepare clear, concise written analyses and recommendations for executive audiences
  • Support risk mitigation efforts and help establish controls to address legal and regulatory exposure
  • Collaborate cross‑functionally with HR, Finance, Operations, Matters, Compliance, and other stakeholders
  • Utilize legal matter management and document management systems to track work efficiently
  • Stay current on relevant legal, regulatory, and industry developments impacting the organization

Qualifications for In-House Corporate In-House Legal Council:


  • Juris Doctor (JD) from an accredited law school required
  • Active membership in good standing with at least one U.S. State Bar required
  • 4–6 years of relevant legal experience in a law firm and/or in‑house legal role
  • Demonstrated experience with contract drafting / review / and negotiation
  • Demonstrated experience supporting corporate governance activities (including entity management and internal governance matters)
  • Experience advising on a wide range of legal issues in a professional services or similarly complex organization
  • Exposure to restructuring, insolvency, or court‑mandated matters (including Chapter 11 or receivership proceedings) a strong plus
  • Experience supporting organizations with U.S. and international legal considerations, including local laws, regulatory requirements, and cross‑border issues
  • Familiarity with data protection and privacy matters (including GDPR and U.S. privacy frameworks), insurance‑related issues, and fiduciary or advisory engagements preferred
  • Business‑minded legal judgment: Balances legal risk with practical, solutions‑oriented advice aligned to business objectives
  • Ability to operate at pace: Comfortable managing a high volume and wide variety of legal questions in a fast‑moving, complex environment
  • Adaptability & flexibility: Handles ambiguity well and adjusts quickly as priorities shift across different legal issue areas
  • Strong ownership mindset: Takes accountability for matters end‑to‑end and follows through with minimal direction
  • Clear and concise communicator: Explains complex legal concepts in plain language to senior leaders and non‑legal stakeholders
