Job Summary:

The General Counsel serves as primarily the United States legal advisor, providing strategic direction and managing all legal aspects of the organization at CATU & CATK to mitigate risk and support business objectives.


Key Responsibilities:

  • Legal Advisory: Provide expert counsel to executives and management on all legal matters, including corporate governance, finance, marketing, HR, and operations.
  • Risk Management: Identify, assess, and manage legal risks, ensuring compliance with local and international laws and regulations. Ability to independently establish sustainable compliance programs for the company. Demonstrable knowledge of Antitrust, FCPA and Trade Compliance management.
  • Contract Management: Oversee the drafting, review, and negotiation of all company contracts, including vendor, client, employment, and supplier and sales agreements.
  • Compliance & Governance: Develop and implement policies and procedures to ensure regulatory adherence and ethical conduct; manage corporate record-keeping. Designing, implementing, and managing ethical compliance programs, policies, and procedures.
  • Litigation Management: Strategize and oversee all litigation, managing outside counsel and representing the company in court if necessary.
  • Intellectual Property: Protect the company's IP, including patents, trademarks, and copyrights by working with the IP Department
  • Strategic Development: Participate in executive decision-making, offering legal perspectives on new markets, product launches, and strategic initiatives.
  • Team Leadership: Manage and mentor an internal legal team, and coordinate with external law firms. Work with works council representatives to drive unified aims of the company.

Qualifications & Skills:

  • A Juris Doctor (J.D.) degree and a current license to practice law in Michigan, New York, California or Washington D.C.
  • Extensive experience (15+ years) in corporate law, with a broad understanding of various legal fields. Good mixture of private practice experience dealing with multi-national clients
  • Strong leadership, exceptional communication, negotiation, and problem-solving skills.
  • Ability to think strategically and commercially, aligning legal advice with business goals.
  • High integrity, sound judgment, and resilience.

Work Environment & Physical Requirements

  • Regular, predictable on-site attendance is an essential function of this role.
  • Ability to move throughout offices, manufacturing facilities, and construction areas, including walking, standing, bending, kneeling, and climbing stairs or ladders.
  • Ability to work in varied environments, including offices, industrial, and construction settings.
  • Willingness to travel to other job sites as business needs require.
