Responsibilities:


Litigation and Litigation Management: Represent the companies in state, federal, administrative, and appellate courts. Litigate on behalf of the companies in Illinois and through pro hac vice admissions as needed. Oversee, select, and retain outside counsel. Manage discovery; draft affidavits; and appear at mediations, depositions, and arbitrations. Review for accuracy and strike inaccurate or unreasonable legal billings.



Contracts: Draft, review, and negotiate agreements within the company and with outside parties. Assist and advise marketing, sales, operations, and other departments on contracts to ensure sound business transactions with minimal exposure. Efficiently manage the new contract process from start to finish. Contracts include purchase and sale agreements, service agreements, SAAS agreements, lease agreements, settlement agreements, nondisclosure agreements, operating agreements, employment agreements, broker-carrier agreements, broker to broker agreements, etc.



Insurance and Risk Management: Oversee, negotiate, and ensure compliance with a portfolio of insurance policies that include property, casualty, workers’ compensation, cargo and auto liability, EPL and D&O, cyber liability, ancillary coverages, etc. Compile documentation to submit claims and recover against losses. Oversee audits, negotiate claim settlements, give presentations to underwriters for renewal, manage certificate compliance, and ensure contract compliance. Assist with insurance litigation as needed.



Compliance/Regulatory: Research and advise on state and federal regulations affecting industry operations. Negotiate with agencies to settle disputes and mitigate risk. Notify staff of changes in laws and regulations affecting operations; draft policy in accordance with changes in laws.



Employee Matters: Counsel HR on labor laws in multiple jurisdictions. Revise and update company handbook as needed; ensure compliance with labor regulations. Interface with and report to regulatory agencies to ensure compliance with various codes and regulations.



M&A and Financial Transactions: Advise on, negotiate, and assist with drafting agreements for proposed and actual debt and equity investments, mergers, acquisitions, divestitures, loans, asset sales, and post-closing transition services agreements. Efficiently manage the due diligence process to minimize fees and stay on track with target deadlines. Collaborate with senior management, outside counsel, and opposing counsel to get deals closed.


Corporate/Administrative Matters: Form and dissolve companies, draft operating agreements between the parent company and subsidiaries and affiliates, ensure state and federal administrative reports are timely filed, respond to audits, file liens and UCC financing statements as needed.


Requirements:

  • Law Degree
  • Member in good standing with the Illinois Bar Association
  • 3-5 years of legal experience preferred
  • Experience with transportation industry preferred
  • SaaS experience preferred
  • Strong organizational, analytical, and critical-thinking skills, as well as the ability to identify and manage issues without supervision
  • Exceptional communication, research and writing skills, and the ability to handle all aspects of a case are required. Must also be self-driven, a team player, able to follow instructions
  • Ability to adapt well to change, multi-task, make effective decisions in a fast-paced, deadline-driven environment, respond with a sense of urgency, and deliver results
  • Strong attention to detail
