A highly respected top-tier law firm is seeking an Executive Compensation Associate Attorney with 4–6 years of experience to join its New York office. This role offers the opportunity to advise on complex executive compensation matters across mergers and acquisitions, public company transactions, and ongoing corporate counseling.


This partner-track position is ideal for attorneys with a strong foundation in tax and securities law who are eager to work on high-value transactions and provide strategic compensation advice to innovative and fast-growing companies.

Key Responsibilities


• Advise clients on executive compensation matters in mergers and acquisitions transactions

• Support public company offerings, including drafting and reviewing compensation disclosures

• Counsel clients on executive compensation structures, equity incentives, and compliance issues

• Analyze and apply relevant provisions of the U.S. tax code, including Sections 409A, 280G, 83, and 421–424

• Provide ongoing advisory services related to compensation and benefits planning

• Collaborate with corporate, tax, and securities teams on complex transactions

Qualifications


• 4–6 years of experience as an Executive Compensation Attorney or ERISA/Compensation Associate Attorney

• Strong knowledge of executive compensation, tax, and securities law

• Familiarity with Sections 409A, 280G, 83, and 421–424 of the U.S. tax code

• Admission to the relevant jurisdiction (New York Bar required)

• Excellent analytical, drafting, and communication skills

• Ability to manage multiple complex matters in a fast-paced environment
