This Executive Compensation Associate Attorney role offers the opportunity to work closely with corporate and M&A teams on high-value transactions, advising on compensation structures and regulatory compliance. Key Responsibilities
• Develop and manage equity compensation plans for public and private companies
• Draft and negotiate executive employment and compensation agreements
• Advise on executive compensation aspects of mergers and acquisitions
• Ensure compliance with proxy compensation disclosure and regulatory requirements
• Interpret and apply relevant provisions of the Internal Revenue Code
• Collaborate with corporate and tax teams on transactional matters
• Manage multiple compensation and compliance projects simultaneously

Qualifications
• 1–7 years of experience as an Executive Compensation Attorney, Tax Attorney, or Employee Benefits Attorney
• Background in executive compensation, ERISA, or tax law preferred
• Admission to the New York Bar (NY Bar required)
• Strong academic credentials and analytical capabilities
• Excellent written and verbal communication skills
• Demonstrated initiative and commitment to client service
