We are looking for a Director, SEC Compliance & Corporate Governance to help build and maintain the legal and compliance framework required to support a high-growth, publicly listed defense technology company.
The Opportunity
This is an opportunity to join a fast-moving business at a pivotal stage of growth. Working closely with senior leadership, finance, communications, investor relations, and external counsel, you will play a key role in ensuring Powerus maintains the highest standards of public company compliance while supporting the commercial objectives of the business.
While the title is Director, we anticipate the successful candidate will typically come from an Associate or Senior Associate level securities practice within a leading law firm, or hold a comparable level position within the legal department of a publicly traded company. This role offers significant exposure, ownership, and influence beyond what would traditionally be expected at a similar level within a larger organization.
Key Responsibilities
- Support all aspects of SEC reporting and public company compliance, including Forms 10-K, 10-Q, 8-K, proxy statements, Section 16 filings, and related disclosure requirements.
- Assist in maintaining compliance with Nasdaq listing standards, corporate governance requirements, insider trading policies, disclosure controls, and governance best practices.
- Review and advise on external communications, including press releases, investor presentations, executive communications, website content, marketing materials, earnings-related materials, social media activity, and public disclosures.
- Partner closely with legal, finance, communications, investor relations, and executive leadership to ensure consistent, accurate, and compliant messaging.
- Support board and committee governance processes, including meeting materials, governance documentation, resolutions, annual meeting requirements, and corporate records.
- Help develop scalable compliance processes, approval workflows, policies, controls, and reporting frameworks appropriate for a rapidly growing public company.
- Monitor developments in securities law, SEC regulations, Nasdaq requirements, and governance standards, translating them into practical business guidance.
- Support strategic initiatives including acquisitions, financing activities, equity matters, executive compensation disclosures, and broader corporate legal projects.
What We're Looking For
- Qualified attorney with approximately 5–8 years of post-qualification experience.
- Strong academic credentials from a leading university and law school.
- Experience gained within a respected capital markets, securities, or public company practice and/or a public company legal department.
- Demonstrated experience supporting SEC reporting, public company disclosure obligations, securities compliance, and corporate governance matters.
- Strong understanding of the Securities Act, Exchange Act, Regulation FD, Section 16 reporting, insider trading requirements, and disclosure controls.
- Experience reviewing public-facing communications and advising on disclosure and communications compliance.
- Strong commercial instincts and the ability to provide practical, business-oriented legal advice.
- Excellent drafting, analytical, organizational, and stakeholder management skills.
- Ability to operate independently and confidently in a high-growth environment with evolving priorities.
- A builder's mindset, with the ability to establish processes and frameworks rather than simply maintain existing ones.
Preferred Experience
- Experience supporting a newly public company, IPO, de-SPAC, reverse merger, uplisting, or similar public market transaction.
- Exposure to defense, aerospace, technology, manufacturing, government contracting, or national security sectors.
- Experience establishing governance frameworks, compliance programs, and disclosure controls within a growing organization.
- Familiarity with EDGAR filings, executive trading compliance, equity administration, board governance, and public company communications review.
