Job DetailsWe are seeking a dedicated and experienced professional to join our dynamic and growing legal team on site in Buffalo or Rochester. This is a permanent position that offers a significant opportunity to work on complex, high-profile M&A transactions. You will be working in a fast-paced, challenging environment.
Responsibilities:
As a Corporate Law Associate, your responsibilities will include but are not limited to:
1. Drafting, reviewing, and negotiating a wide range of complex transactional agreements related to mergers and acquisitions, including merger agreements, stock purchase agreements, asset purchase agreements, and joint venture agreements.
2. Conducting and managing due diligence investigations.
3. Advising clients on the legal aspects of mergers and acquisitions, including legal risks, deal structures, negotiation strategies, and post-closing integration matters.
4. Working closely with other attorneys, professionals, and clients to provide comprehensive legal advice on M&A transactions.
5. Coordinating and managing all phases of M&A transactions, from the initial proposal stage through to closing.
6. Keeping abreast of changes in laws and regulations that may affect the company's M&A activities.
Qualifications:
The ideal candidate will possess the following qualifications:
1. JD degree from an accredited law school.
2. Admission to the NY Bar.
3. A minimum of 5 years of experience in the legal field, with significant experience in mergers and acquisitions.
4. Extensive knowledge of M&A law, securities law, corporate law, and contract law.
5. Track record of managing complex corporate transactions start to finish.
6. Exceptional negotiation skills and the ability to resolve complex legal issues in a practical and business-friendly manner.
7. Strong analytical, problem-solving, and decision-making skills.
8. Excellent written and verbal communication skills.
9. Ability to work independently and as part of a team in a fast-paced environment.
10. High level of professionalism and ethical standards.
