Seeking an experienced, highly motivated and energetic Corporate Governance Specialist to join the Corporate Secretarial team of a global media company. The position requires knowledge of corporate secretarial and general corporate legal work, comfort dealing with Company board members and senior management, interest in and comfort with developing and using approved enterprise AI tools to assist with the team’s responsibilities, skill in working with agility under pressure, and ability to work productively and effectively in a team environment.
Job Description:
Prepare for meetings of the Company’s board of directors and committees, including preparation of resolutions and board books and communications with attendees.
Serve as a key contact with respect to the essential tools and platforms updated and maintained by the team.
Draft and manage documents for formation of new companies, mergers, reorganizations, and qualifications as a foreign company in various jurisdictions.
Prepare and keep current organizational structure charts and corporate records.
Draft and manage minutes, including annual meetings, election of directors and officers and various resolutions such as banking resolutions.
Work with the Company’s various departments, such as Tax, Finance, Treasury and Internal Audit.
Respond to foreign and domestic “know your customer” requests and prepare beneficial ownership transparency filings.
Contribute to regulatory filings such as Hart-Scott-Rodino filings and FCC filings.
Draft summaries of acquisitions and other transactions.
Support the corporate legal team in conducting due diligence and drafting and organizing documents relating to acquisitions.
Use approved enterprise AI tools, including ChatGPT Enterprise, Claude Enterprise and Legora, to support legal research, document preparation, summarization and corporate governance workflows.
Monitor evolving best practices in corporate governance including using AI tools to facilitate efficiencies. Help identify and document practical AI-enabled efficiencies for the Corporate Secretarial team, including reusable prompts, templates and quality-control practices.
Perform online legal and fact research.
Communicate and coordinate with Company managers and related departments, clients, vendors and/or outside counsel/agencies on select legal issues.
Experience, Skills and Qualifications:
Bachelor's degree required. An ABA-approved paralegal certificate a plus.
Minimum of five years' law firm or in-house experience.
Demonstrated aptitude for using enterprise AI and legal technology tools in a legal or corporate governance environment.
