Corporate Finance Attorney

Our client is seeking a senior level finance attorney to support their corporate finance and debt restructuring practices.

They are known for their elite real estate practice, sports law and litigation practice groups.

Primary responsibilities will include the following:

• Representing lenders and corporate borrowers in a variety of financing arrangements including acquisition and leveraged buyout financings.
• Leading private equity-backed financings across various industries.
• Structuring, negotiating and documenting secured and unsecured lending facilities, including ABL, unitranche and cash flow transactions.
• Drafting credit agreements, commitment papers, security documents, guarantees and related financing transaction documents.
• Handling bilateral and syndicated credit facilities, including intercreditor agreements and AALs.
• Documenting and closing mezzanine debt transactions and preferred equity investments.
• Collaborating with and supporting various practice groups in finance related matters.
• Serving as primary point of contact for active finance matters.
• The successful candidate is expected to have experience with sophisticated commercial finance matters.

Requirements

• 8 - 15 years of leveraged finance/transactional workout experience at a nationally recognized law firm, including experience with cross-border transactions.
• JD from an ABA-accredited law school.
• Bar admission in NY.
• Strong drafting and communication skills and ability to work in a team setting.
• Ability to manage complex transactions and tight timeframes.
